The report will present the case study of two such organisation; one with an excellent communication and another with poor communication. For this, there has been taken use of the analysis of the business communication at Apple and at Nokia respectively. The report will also present the nature of both the communications and their impact upon the respective organisations. 1.Two current examples of business communication Excellent Business Communication and Poor Business Communication One of the current examples of poor communication in the business world is of Nokia Corporation. The organisation has faced numerous issues and challenges because of the poor communication. The issues of communication were reflected in the unfocused discussions which the company have about the strategic plans and strategies related to the new phone models to be offered in the markets. One of the current examples of excellent communication in the business world is of Apple Inc. There are various benefits and advantages which the organisation has attained because of its effective and excellent business communication. There is an integrated communication channel in the business organisation which involves each and every member of the organisation in the discussion which results in n effective communication flow (Hansen and Liu, 2005). Overview of the businesses Nokia Corporation Nokia Corporation was grounded in the year 1865 by the combined efforts of Eduard Poln, Leo Mechelin and Fredrik Idestam. It is an information technology and a multinational company which has gained huge recognition in the telecommunication industry. In almost 120 nations, the company has its business operations which are managed by approximately 101,700. The company has faced several ups and downs in its entire business life cycle (Nokia, 2017). Apple Inc. Apple Inc. was established in the year 1976 together by the hard work of Ronald Wayne, Steve Wozniak and Steve Jobs. The company is primarily a multinational technology organisation which offers online services, computer software and consumer electronics. The mobile phones of Apple Inc. are leading the market as well as it is one of the leaders in the telecommunication industry which rules the industry and market with its highly developed and innovative products. Presently, the organisation has its stores in almost 21 nations which are effectively managed by approximately a total of 116,000 employees. 2.Comparing and contrasting the nature of the communications The nature of communication in Nokia where comprises of several loopholes and weak points that results in the poor business communication in the company. The communication at Nokia were usually undisclosed which restricts the smooth and efficient flow of information in the various departments of the organisation. The undisclosed information was remained only among the few senior authorities and executives. As well as the communication channels also have halts and blockades that reduce the opportunity to have involvement of the people (Proctor and Doukakis, 2003). At the time of making strategic plans, there is no involvement of the concerned departments and other related people. This results in decreased innovativeness and technology in the products of Nokia. There also takes plays one way communication at Nokia where there is no feedbacks and suggestions are taken from the subordinates. This results in just follow up the orders and instructions of the managers and executes and thus there takes place poor communication at the workplace and in the business organisation (Groysberg and Slind, 2012). The nature of communication in Apple is very much sound and possess number of plus points that results in the excellent business communication in the organisation. The communications at Apple are usually disclosed and open that supports in smooth and efficient flow of information in the various departments of the organisation. The disclosed and open communication involves participation of all the employees, managers and various other personnel. There is an integrated communication channels that is linked with each and every department and thus there is involvement of the entire workforce. The company has a policy to take feedbacks, ideas and suggestions from the workforce so that any innovative idea can be used to have pioneering and innovative features in the products. The effective business communication supports the efficient productivity of the employees as well as of the organisation. There are decreased workplace conflicts as well as the information is passed with a rapid speed (Cornelissen and Cornelissen, 2017). 3.Identification of the types of communication worked and what did not The communication in Nokia did not worked as the nature of the communication was not good and such information does not work in an organisation. The un-disclosures, barricades, halts and lack of collaborative efforts reduced the effectiveness of the business operations in comparison with the competitors products and business strategies. Whereas the communication which worked are the one which are practiced at Apple as there the organisation has an open and integrated communication channel that allows the frequents flows of information from all across the organisation and various departments (Grunig and Dozier, 2003). The communication has worked in offering high level of innovativeness, increased productivity and greater efficiency level in the products of Apple. There is a clear and structured way of communication in the organisation which works as a vital element for the continuous success of the company. Thus, it can be said that the communication that work in an organisation are required to be smooth, effective, open, disclosed and with utmost clarity, brevity, relevancy, attentiveness and accuracy. Having these components in the business communication make it more advantageous and beneficial for the business organisation (Bovee, 2010). 4.Impact of the communications on the businesses Impact of business communication on Nokia The particular communication which takes place at Nokia has damaged the business in a greater sense. There are several negative consequences and implications of the type of business communication taking place at the company. The first negative implication which damaged the business was the un-involvement or non-participation of the key people in the decision making. At the time of strategy formulation, the various key people as well as the workforce were not involved (Smith and Mounter, 2008). This was one of the major outcomes of ineffective communication. Without having the suggestions of the experts the decisions taken drowned the competitive benefits of the company and had made it difficult for Nokia to survive in the telecommunication industry. Other disadvantages or negative implications of the communication at Nokia includes decreased morale of the employees, less involvement of the workforce, decreased market share due to ineffective strategic plans, etc. Thus, it can be said that the type of business communication took place at Nokia has damaged the business as well as the brand image of the company (Hiki, 2002). Impact of business communication of Apple The particular communication which takes place at Apple has enhanced the business in an in-depth and profound manner. There are number of positive implications of the business communication taking place at the company. The primary and the initial benefit or positive impact is the involvement and engagement of the employees. Because of sound communication and improved flow of information, the employees are involved in all the matters related to the organisation. The inputs of the employees are valued thus it increases their morale which results in enhanced employee productivity (Leathersn and Eaves, 2015). Other benefits of the effective business communication at Apple are the continuous contribution of innovative ideas and opinions from the employees which offers uniqueness in the products and services. With the integrated communication channels, there is faster resolution of the organisational and workplace conflicts. Thus, from the overall analysis of the business communication at Apple it can be said that the business communication ahs its vital role in the enhancement of the business and the organisation. It has also supported the strong brand recognition of the company across the globe (Guffey and Loewy, 2010). Conclusion From this report, it can be understand that there is a vital role of business communications in the organisations. To have a sustainable development and growth of the business, it is essential to have sound business communication. From the two different case studies of Nokia and Apple it can be analysed that, both the companies are from telecommunication sector and there is a significant role of business communication in their businesses. Nokia was one the leaders of the telecommunication industry but because of the ineffective communication, undisclosed plans and strategies, the company lost its position. On the other hand, Apple gained huge success and recognition for its sound business communication. The company get huge support from the employees, suppliers, distributors as well as the customers because of its efficient communication n channels. Violated the Restrain Clause That Is Imposed Upon Him by Computer

Question: Whether Chu has violated the restrain clause that is imposed upon him by Computers Pty Ltd (COMPUTERS)? Answer: Introducation: In Australia, whenever any business needs to be established, then, one of the significant ways is its incorporation which results in the formation of a company. Once a company is formed then it owns a feature of separate legal entity, which symbolizes, that the company is distinct from its members and any action which is undertaken in the name of the company will be binding upon the company alone and will to make any company directors or officers liable for the same.[1] In Salomon vASalomon Co Ltd[2], it was held that a company is an artificial legal entity in the eyes of law and has the capacity to sue or be sued in its own name. It was held in Lee v Lee's Air Farming Ltd[3], that since a company has its own legal personality, thus, the directors/outsiders/members can establish a contract with the company. In the given case, Lee was the director/shareholders and employee of the company at the same time. Lee died while performing his employment duties. It was held that a single person has the capacity to be the employee and director of the company at the same time but in different capacity. Compensation was provided to the wife of Lee after considering the Lee dies while serving his employment duties. The concept was also applied in Industry v Bottrill[4].[5] However, this separate legal entity principle can be pierced by lifting the veil when there is presence of agency, fraud, sham or faade, group enterprises and unfairness/justice[6]. The courts are willing to pierce the veil when it believes that there is presence of fraud and the principle lay down in Solomon and Lee will not be applicable. In Gilford Motor Company Ltd v. Horne[7], the Gilford motors is a company and has employed Mr Home. The contract of employment of Mr Home submitted that he is not allowed to solicit the employees of the company after leaving the job. In order to avoid the restrain clause, he established a company in his wifes name and solicited the customers of Gilford motors. The court held that the intention of formation of new company was to bi-furcate the restrain clause and to incur fraud. Thus, the veil was lifted and it was held that the business carried out by the wife of Mr Home was in fact carried out by him in order to deceive Gilford motors.[8] Further, every company is managed by its shareholders and directors. Apart from them, employees are also appointed to effectively run a company. These employees do acquire confidential, technical know-hoe and secretive informations. In order to prohibit these employees from transmitting these information to any other person, restrain clause are made part of their employment agreement[9]. Restrain clauses (non-competent clauses) are clauses wherein no employee is permitted to carry out work in similar trade or work for a certain period of time or at a particular geographical region for a particular period of time and is analyzed in Write v Gasweld[10].[11] However, a restrain clause is considered to be valid only when: When the employer wants to protect his genuine or legitimate interest then the restrain clauses can be imposed[12] When the clause aims at protecting the reputation and goodwill of the company. The company tries to restrict the acts of the employer so that the reputation of the company is not hampered. If the employee indulges him in same trade then the reputation/goodwill of the company is at stake and is held in Stenhouse Australia v Phillips[13].[14] The employer always wants to protect the confidentiality of the business which is at stake if the employer reveals such confidentiality after leaving the business of employer.[15] However, at times the restrain clause incorporated by the employer is found to be unjustified, that is, when the clause is for a very long duration, then, such clauses are fund to be inappropriate[16]. The long restrain clauses are valid only when the employer can show to the court that the need for long restrain clauses is justified and in the legitimate interest of the employer. The restrain for 1 year or eleven months were held valid[17]. The two year restrain was also held valid in Pearson v HRX Holdings Pty Ltd[18]. If the clauses are against the public policy then the clauses are held to be invalid in nature.[19] The aggrieved party has the right to seek injunction, damages and compensation for the loss so caused. Application of law Chu was working as operations managers with COMPUTERS for last 5 years. The main purpose of COMPUTERS was to retails computer software and hardware. Chu was at a very senior position and thus he knows the identity of major clients of COMPUTERS. In March 2014, he retired. The COMPUTERS has incorporated a restrain clause in the employment contract of Chu according to which he will not compete against the company in New South Wales for two years. As per Pearson v HRX Holdings Pty Ltd, the restrain clause that is incorporated by COMPUTERS is valid and is enforceable against Chu. The clause is only for two years and thus is not for a very long time to make it invalid. Also, the clause is required to protect the legitimate interest of COMPUTERS and to maintain its goodwill and reputation in the state. So, Chu must follow the clause adequately. But, this restrain clause is very cleverly breached by Chu. The wife of Chu established a company, Systems Pty Ltd, in which she holds all the issued capital and is the only director. The main aim of the company was selling computer software and hardware. The company was formed in April, a month after Chu retired from COMPUTERS. Also, the area of work is same which is prohibited to be carried out by Chu. By carrying out the similar work, Systems Pty Ltd is soliciting the customers of COMPUTERS in New South Wales. Thus, by applying the rule in Gilford Motor Co Ltd v Horne, Chu has established the company in his wifes name in order to incur fraud on computers. Though a company established by Chus wife has a separate legal entity and must consider Chus wife to be distinct from Systems Pty Lt, but, this separate legal entity of the company must be disregarded and the veil must be lifted to consider them as one in order to avoid fraud against COMPUTERS. Thus, Chu by incurring fraud has violated the restrain clause that is applicable upon him. Conclusion To conclude, it can be submitted that the restrain clause that is imposed upon Chu was valid. But, the same was violated by Chu by establishing a company in his wifes name. Thus, the corporate veil must be pieced and Chu and his wife must not be considered distinct from Systems Pty Ltd. So, COMPUTERS can sue Chu for injunction, damage and compensation for violating the restrain clause.
